OPERATED WEBSITE AGREEMENT

READ CAREFULLY BEFORE USING THE VERMEER WEB SITE.

The Vermeer secured media section of the web site ("Site") is only for use by authorized media representatives accessing the Site with their passcode ("Code") previously provided to them by Vermeer (collectively the "Authorized Users"). If you are not an Authorized User accessing this Site with your Code, you are not authorized to enter the Site, and any attempt to do so will subject you to the full penalties of the law. If you are an Authorized User, this Agreement (hereinafter "Agreement") is a legal Agreement between you, the user (hereinafter "you" or "your") and Vermeer Corporation (hereinafter "Vermeer"). By using your Code to access materials in the Site (hereinafter "Materials"), you agree to be bound by the terms of this Agreement and will be bound thereby.

LIMITED LICENSE Vermeer grants to you a non-exclusive, non-transferable license to access the Materials solely for activities directly related to fulfilling your obligations as media representative. You may not copy, transfer or otherwise utilize any proprietary information contained in the Materials for any purpose other than those required by your relationship with Vermeer, without the express written permission of an authorized officer of Vermeer.

CONFIDENTIAL INFORMATION You expressly agree to hold each and every proprietary aspect of the Materials and your Code (hereinafter collectively the "Confidential Information") in confidence for the sole purpose of executing your duties as a media representative, and expressly agree not to disclose the Confidential Information to others, or to use the Confidential Information for non-confidential purposes or purposes not directly required by your preexisting relationship with Vermeer.

COPYRIGHT All right, title and interest, including the copyright therein, in the Materials is owned by Vermeer, its affiliates or third parties (hereinafter "Copyright Owners"). The Materials are protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Materials may not be distributed, copied or displayed, reproduced or transmitted, in any form or by any means mechanical, electronic, photocopying, recording, or otherwise, unless the use directly relates to your duties as a media representative, or you have previously obtained written permission from an authorized officer of Vermeer.

TRADEMARKS All of the trademarks used in the Site (hereinafter "Trademarks") are owned by Vermeer, its affiliates or third parties (hereinafter "Trademark Owners"). You are prohibited from using any of the Trademarks without the express written consent of their respective trademark owners. The Trademarks are protected by state, federal and common law, and will be enforced against infringers.

LIMITATION OF LIABILITY/DISCLAIMER Although substantial efforts have been undertaken to ensure the accuracy of the information contained on the Site, Vermeer does not warrant the accuracy or completeness of the information, text, links, graphics or other items contained on the Site or any other server. VERMEER DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS OR SUITABILITY FOR A PARTICULAR PURPOSE. VERMEER SHALL NOT BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DIRECT, CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, ANY LOST PROFITS ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE MATERIALS, OR ANY DECISION MADE OR ACTION TAKEN BY YOU IN RELIANCE ON THE MATERIALS. Vermeer will periodically revise the information, services, and resources contained on the Site and reserves the right to make such changes without any obligation to notify past, current or prospective visitors.

INFORMATION SUBMITTED TO VERMEER If you submit Material to Vermeer; All remarks, suggestions, ideas, graphics or other information that you communicate to Vermeer through the Site will become and remain Vermeer property. This means that: Vermeer does not have to treat any such submission as confidential. You cannot claim any rights vis-a-vis Vermeer for using the ideas you submit (including but not limited to product or advertising ideas). If Vermeer uses your submissions (or anything like them), Vermeer does not have to pay you or anyone else for them. Vermeer will have exclusive ownership of all present and future rights to submissions of every kind. Vermeer can use the submissions for any purpose, without compensating you or anyone else for them. You acknowledge that you are responsible for any submission you make. Thus you acknowledge that you (and not Vermeer) have full responsibility for the message, including its legality, reliability, appropriateness, originality and copyright.

LINKS The links on the Site will allow you to leave the Site itself. The linked sites are not under Vermeer's control and Vermeer is not responsible for the content of any linked site or any link contained in a linked site. Vermeer is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement of the site by Vermeer.

INDEMNIFICATION You expressly agree to indemnify and hold Vermeer harmless and will, upon request, defend Vermeer against all actions, proceedings, claims, demands, suits, damages or expenses, including reasonable attorney fees, and other costs that may be assessed against Vermeer, which Vermeer may incur in defending any proceeding in which the damage sustained arose from your improper use of the Materials, and/or from any other breach of this Agreement.

JURISDICTION AND VENUE You acknowledge and agree that the laws of the State of Iowa, without reference to conflict of law principles, shall govern this Agreement. You also agree that the District Court in and for the State of Iowa shall have exclusive jurisdiction over the subject matter and enforcement of the terms and conditions of this Agreement, and you shall consent to the jurisdiction of Polk County, Iowa.

WAIVER No waiver by you or Vermeer of any breach, default, or violation of any term, warranty, representation, agreement, covenant, condition or provision hereof shall constitute a waiver of any subsequent breach, default or violation of the same, or other term, warranty, representation, agreement, covenant, condition or provision.

GENERAL The terms and conditions of this Agreement shall not be modified or amended by you, or any custom and usage of the trade or course of dealing, except by written instrument, signed by an authorized officer of Vermeer.

SEVERABILITY If any part of this Agreement, or any part of any provision hereof, shall be adjudicated to be void or invalid, then the remaining provisions not specifically so adjudicated to be invalid shall be executed without reference to the part or portion so adjudicated insofar as the remaining provisions are capable of execution.

ENTIRE AGREEMENT All understandings and agreements heretofore had between you and Vermeer are merged into this Agreement, which alone fully and completely expresses the Agreement between you and Vermeer.
